Hosting Terms

Version 2026-10-29 · Keak AI, Inc.

Your dedicated gateway, the hosting we provide, and the choices you keep. These terms supplement our general terms and preserve your mandatory local rights.

General TermsPrivacy PolicyData Processing AddendumContact support

1. Who provides the service

OmniRoute Cloud is provided by Keak AI, Inc., 651 North Broad Street, Middletown, Delaware 19709, United States (Keak, we, us). This Hosting Addendum applies to the dedicated managed gateway you order. It supplements the Cheaper Inference Terms of Service and Privacy Policy linked below. For hosting-specific matters, this Addendum controls if those terms conflict. Any signed enterprise agreement controls over this Addendum.

You must be 18 or older and legally able to contract. If you order for an organization, you confirm you have authority to bind it. Your order, these terms, and the applicable service description form your hosting agreement.

2. What you are buying

Your order identifies the region, gateway resources, included transfer, monthly hosting price, and additional-transfer spending limit. Hosting includes a dedicated OmniRoute instance, managed HTTPS, platform updates, monitoring, and daily infrastructure backups. It does not include model inference, provider subscriptions, provider credentials, custom development, or an uptime SLA unless separately agreed in writing.

The selected region describes the gateway’s infrastructure location. It does not guarantee that inference, support, billing, logs, or backups remain exclusively in that region. We use infrastructure and other service providers to deliver the service. Beta features may change, but we do not remove paid core hosting functionality during an already-paid period without providing an appropriate remedy.

3. Price, renewal, and additional transfer

By ordering, you authorize the monthly hosting charge shown at checkout and recurring monthly renewal until cancelled. Your payment method is charged in the currency shown. Inference through Cheaper Inference uses the separate workspace wallet; providers you connect may charge you directly. Hosting does not include those inference fees.

Your order shows the included monthly transfer allowance and the additional-transfer rate. The spending limit caps additional-transfer charges, not your base hosting price or inference charges. At the limit, inference traffic pauses while management access remains available where technically possible. Usage already incurred remains payable. Taxes, where applicable, are disclosed before you confirm payment.

We will disclose a change to your recurring hosting price at least 30 days before it takes effect and let you cancel before the next charge. A change requiring affirmative consent under applicable law will not take effect without that consent. Failed payments may require you to update payment details; we may restrict or end service after notice as described below.

4. Cancelling and refunds

You can cancel renewal in OmniRoute Cloud or its hosting billing portal, or request help through our support form. Cancellation normally takes effect at the end of your paid period, and you keep access until then unless suspension is necessary for security, abuse, or law. You can withdraw a scheduled cancellation before service ends.

Except for your statutory rights, a signed agreement, or a remedy stated here, unused time in a started billing period is not refunded. If initial provisioning fails and cannot be completed, we cancel the hosting subscription and refund the initial hosting payment. If we discontinue your paid service without your material breach, we refund prepaid hosting fees for the unused period. Refunds are returned through the original payment method where possible.

5. Consumer withdrawal and immediate start

If you are a consumer with a statutory right to withdraw, including qualifying customers in the EEA or UK, you may notify us of withdrawal within the applicable period, generally 14 days after the contract is made, without giving a reason. Use the support form linked below or write to our postal address. Include your name, account email, order identifier, the service, and your clear decision to withdraw. You may use: ‘I give notice that I withdraw from my OmniRoute Cloud hosting contract ordered on [date]. Name: [name]. Account email: [email]. Date: [date].’ No particular form is required.

We ask separately for your express request to start hosting after payment, including during a withdrawal period. Starting service does not itself remove your withdrawal right. If you withdraw after expressly requesting an early start, you may owe only a lawful, proportionate amount for service provided before your notice. We do not charge that amount where applicable law prohibits it. We process any required withdrawal refund within the statutory deadline, generally within 14 days of your notice. Mandatory rights, including remedies for non-conforming digital services, remain in force.

6. Your account, providers, and acceptable use

Keep account access and provider credentials secure. You are responsible for your users, gateway configuration, the rights and lawful basis for submitted data, and compliance with the terms of providers you connect. You decide which providers and models are suitable. You must not use hosting for unlawful activity, malware, unauthorized access, credential abuse, infringement, or evasion of service protections, provider restrictions, sanctions, or export laws.

We may investigate abuse and take proportionate protective action. Where feasible, we give notice and an opportunity to remedy a breach before suspension. We may act immediately when needed to prevent material security harm, unlawful activity, or serious service disruption.

7. Data, privacy, and credentials

You retain your rights in your data and grant us only the rights needed to host, secure, maintain, and support your gateway and comply with law. We process personal data under the Privacy Policy and, where applicable, the Data Processing Addendum. You must arrange any additional agreement needed for regulated or highly sensitive data before submitting it. No HIPAA, PCI, government-security, or jurisdiction-specific certification is promised by standard hosting.

Connecting Cheaper Inference is optional. Bringing your own provider credentials does not transfer ownership of those accounts to us. Your selected providers may process requests under their own terms and privacy practices. You are responsible for evaluating the complete processing route. We maintain reasonable security measures but cannot promise that any system is immune from compromise.

8. Backups, updates, and service availability

Daily backups support recovery; they are not a substitute for your own exports and may not capture changes since the latest successful backup. We use reasonable efforts to maintain and restore service, but do not promise uninterrupted service, a particular recovery time, or lossless recovery unless separately agreed. Planned maintenance and security updates may require short interruptions. We provide notice of material planned disruption when reasonably practicable.

We may apply security updates or make compatible operational changes. We will communicate material changes affecting your use and provide any cancellation or other remedy required by law. You should keep independent copies of data and configuration you need to retain.

9. When service ends

Export needed configuration and data before the paid period ends. After service ends, the gateway is disabled and infrastructure may be deleted. We normally keep a recovery backup for seven days after service ends, then delete it through the normal deletion process, subject to legal retention duties and backup rotation. Recovery is not guaranteed. We may retain billing records and necessary security records for lawful purposes under the Privacy Policy.

For an unresolved renewal payment failure, we normally notify you and allow seven days to remedy it before ending hosting. Immediate restrictions may apply where necessary for security, abuse, legal obligations, or payment fraud. If a material dispute or service issue arises, contact support promptly so we can investigate.

10. Warranties and liability

We provide the service with reasonable care and skill and will supply remedies required by applicable law. Except for express commitments and rights that cannot lawfully be excluded, no warranty is made that hosting, connected providers, or AI outputs will be uninterrupted, error-free, or fit for a particular purpose. You must independently assess AI outputs and use qualified human review for consequential decisions.

For business customers only, to the extent permitted by law, neither party is liable for indirect or consequential loss, and our aggregate liability arising from hosting is limited to the hosting fees paid or payable for the affected service in the 12 months before the event giving rise to the claim. These limitations do not exclude fraud, wilful misconduct, death or personal injury caused by negligence, or any liability that cannot be excluded or limited by law. Consumer statutory rights and remedies are not limited by these business provisions.

11. Applicable law, disputes, and mandatory rights

For business customers, Delaware law and the Delaware courts apply, subject to a signed agreement and mandatory applicable law. If you are a consumer, you retain the protections and courts available under mandatory law where you live. Nothing requires you to waive a non-waivable local right or prevents you from contacting a regulator or competent consumer-protection body.

We aim to resolve concerns through support first. Nothing in this Addendum makes that an obstacle to exercising a statutory right or filing a claim within a legal deadline. If a clause is unenforceable, the remaining terms apply to the extent permitted by law.

12. Changes and contact

We give reasonable advance notice, normally at least 30 days, of material changes to these hosting terms unless an earlier change is needed for law or urgent security reasons. Changes do not retroactively alter an accepted order’s accrued rights. Where a change requires consent, we obtain it. You may cancel before a material change takes effect, with any remedy required by law.
